W-8BEN vs. W-8BEN-E: which form do you need?

The individual-versus-entity distinction, the exceptions to check, and what an international contractor should prepare before starting.

THE QUICK ANSWER

W-8BEN is generally for a foreign individual. W-8BEN-E is generally for a foreign entity. Start by identifying the beneficial owner and its U.S. tax treatment; a business name, invoice, or overseas address alone does not settle the form choice.

The core difference is who the form documents

The extra letter in W-8BEN-E matters. The entity form collects information that an individual generally does not need to provide, including entity classifications and applicable chapter 4 status. You cannot convert an individual W-8BEN into an entity form just by adding a company name.

Both forms can document foreign status and certain claims by the beneficial owner of income. Neither one, by itself, guarantees that the payment has no U.S. tax consequences. The requester still needs to assess the documentation against the relevant payment and rules.

Identify the beneficial owner before choosing

Suppose an individual freelancer supplies services in their own capacity and is the beneficial owner of the payment. If that individual is a foreign person and the circumstances fit, W-8BEN may be appropriate. A foreign corporation receiving income for its own business may instead be looking at W-8BEN-E.

Now consider a trading name or a disregarded entity. The visible business name is not necessarily the taxpayer or beneficial owner that needs to provide the certificate. The owner’s status and the form instructions may determine the documentation. This is why asking only “Are you a business?” creates avoidable mistakes.

For an entity, prepare the classifications first

W-8BEN-E can require both a chapter 3 entity type and a chapter 4 status, along with the corresponding certification sections. These categories answer different questions. A description such as “consulting agency” or “small company” is not a substitute for the applicable classification.

Before starting, identify the entity’s jurisdiction of organization, its U.S. tax classification, the relevant beneficial-owner information, and any required tax IDs. If claiming treaty benefits, examine the eligibility conditions that apply to the entity, including any applicable limitation-on-benefits provision. Do not select a status solely because another company in your industry used it.

Sometimes neither form is the right answer

W-8 is a family of certificates. Intermediaries and certain flow-through arrangements may need W-8IMY. Income effectively connected with a U.S. trade or business generally points to W-8ECI. Certain foreign governments and other organizations may use W-8EXP. Other special cases also exist.

A U.S. person generally provides W-9 instead. A U.S. citizen living overseas does not become a W-8BEN filer solely because their address is foreign. Similarly, the correct treatment of an entity cannot be read from an invoice’s mailing address. Resolve these questions before signing a certification.

How to respond to a request for “a W-8”

Ask the requester what relationship and payment the form is documenting if it is not already clear. Then supply the appropriate form for your status and circumstances. The generic label “W-8” is useful for opening the conversation, but the completed document needs to be the correct variant.

Common questions

No. U.S. tax classification and beneficial ownership matter. A disregarded entity can require documentation from its owner. Use the form instructions for the actual structure rather than the LLC label alone.

Not simply because you invoice under a business name. An individual operating in their own capacity generally considers the individual form, subject to the payment and status rules.

Generally, you give the appropriate W-8 to the requester or withholding agent. They retain it to support their treatment of the payment.
